Terms of Service

1. Acceptance of Terms
By accessing or using CueAPI (the "Service"), operated by Vector Apps Inc ("we," "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
CueAPI provides scheduling infrastructure for AI agents via a REST API. The Service includes cue management, webhook delivery, worker pull mode, outcome tracking, failure alerting, and a web dashboard.
3. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the security of your API keys and account credentials. You are responsible for all activity under your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to circumvent rate limits or usage quotas
- Use the Service to send spam or unsolicited messages
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without written permission
- Use callback URLs that target internal or private network addresses
5. API Keys
API keys are confidential credentials. Do not share, publish, or embed them in client-side code. If a key is compromised, regenerate it immediately via the API or dashboard. We are not responsible for unauthorized access resulting from compromised keys.
6. Pricing and Billing
Free accounts are subject to usage limits as described on the Pricing page. Paid plans are billed monthly or annually via Stripe. You may upgrade, downgrade, or cancel at any time. Downgrades take effect at the end of the current billing cycle. Refunds are not provided for partial months.
7. Service Level
We target 99.9% uptime for paid plans. The Service is provided "as is" without warranty of any kind. We do not guarantee uninterrupted or error-free operation. Real-time status is available at status.cueapi.ai.
8. Data Ownership
You retain ownership of all data you submit to the Service, including cue configurations, payload data, and outcome reports. We claim no ownership or license over your data beyond what is necessary to operate the Service.
9. Limitation of Liability
To the maximum extent permitted by law, Vector Apps Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
10. Termination
We may suspend or terminate your account for violation of these terms. You may terminate your account at any time via the dashboard. Upon termination, your data will be retained for 30 days, after which it is permanently deleted.
11. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email. Continued use of the Service after changes constitutes acceptance.
12. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
